Pro Merger Proxy Challenge in Bethlehem Steel Case

In Youngstown Ohio on October 23 a new attack emerged in the Bethlehem Steel Corporation merger dispute. Cyrus E. Eaton’s counsel contends that proxies on 2,900,600 sheets and Tube stock were misused, arguing proxies were estate votes or unauthorized, potentially overturning the merger approval and risking a loss of 45 million dollars in stock value. Evidence questions include auditor Price Waterhouse claims and 15 proxy classes allegedly improper under the new state code.
