Contends Liquidating Dividend Ruling Opens Way For Tax Avoidance
DES MOINES AP John E Mulroney assistant attorney general Tuesday asked the supreme court to reconsider its decision that liquidating dividends are not taxable Mulroney said the decision leaves the door open for one of the nearest tax avoidance devices in Iowa history The high court last week ruled in favor of Donald Ro Land Cedar Rapids who had appealed from a tax board decision which had held that liquidating dividends are taxable Lynch received a dividend of approximately $2000 when the Lynch Transfer company's corporation status was changed to a partnership Mulroney said We were not trying to tax Lynch's original investment in the company All we were after was the income tax on the earnings of that original investment Mulroney contended that officials of a corporation could avoid payment of thousands of dollars in income taxes by liquidating a corporation and then reorganizing it with the same stockholders the same original investment and perhaps a different name

Lynch Transfer Companys Corporation
Change of status turns firm into partnership again
The transfer company began as a partnership, became a corporation during World War II to allow partners to manage remotely, and reverted to a partnership in January 1937 after a 20 year corporate status lapse. The state argues the return constitutes liquidation and taxes liquidating dividends as earned income from the former corporation.
