Bank of Virginia Coany files a Registration Statement for an exchange offer of 500000 shares of 1.15 preferred stock to holders of its 5 percent convertible subordinated debentures due 1997 at 50 preferred per 1000 debentures. Preferred converts to 0.8 common per preferred. debentures convert at 25.64 per 1000. Offer to be made after the Registration Statement becomes effective. Goldman Sachs and Wheat First Securities act as dealer managers.
