Belling Suit Is Dismissed Over Merger Bond Issue
Newark January 5 A suit by George Belling of Bayonne to declare the merger of American Tobacco Consolidated and Continental Tobacco into American Tobacco was conditionally dismissed by Vice Chancellor Pitney. Belling held 100 shares of 8 percent preferred stock and argued the new company lacked the right to substitute 6 percent bonds for old stock without owner consent. The court urged accepting 8 percent stock there is no time limit and warned that failure to accept offers would yield unconditional dismissal.
