Henry Seyberth v. American Commander Mining case file
Henry Seyberth of Mullan sues the American Commander Mining and Milling Co in district court challenging a 2 percent assessment levied September 17. He seeks return of 37,000 shares sold at the sale, declaration of a pooling contract under which about 600,000 shares were returned to treasury for up to a year and a half, and other relief. The complaint notes the company’s 2,000,000 shares authorized and about 1,300,000 issued before June 1923, with directors allegedly under the dictation of H B Kingsbury. The pooling plan involved returning treasury stock to the treasury to enable sale, with covenant that subsequent assessments would not apply to stock returned under the pool. A letter to stockholders on June 30 described the financial condition and urged sending in stock, promising improved finances. Seyberth contends the pooling and assessment scheme is improper and that his stock, returned under the pooling agreement, was not subject to the 2 percent assessment.
