A. Kidd. President, on the 2nd day of January, 1915, the followingreaolution fvfft adopted bv a majority in interest of the entire stock of said corporation:Resolved. That this corporation, Lester Feed and Lumber Company, discontinue business as a corporation, and surrender to the state of WestVirginia, its charter and corporate J franchise, and after paying all its debts ! and liabilities, divide its property and lt;*' assets remaining among its stockhold* mi erH» Pro rata wth the shares of each* hold by each stockholder. And to thisend the Hoard of Directors will proceed as speedily a* possible to convert all 1,1 the property chosen in action and as Ily sets into money, and to pay off and dis ck charge all the debts and liabilities of this corporation according to their priorities; and after fully discharging said debts and liabilities, to divide among 1 s and pav over all such remaining assets Ir. to the several stoekholders of this com S- pany, pro rata with the shares of stock lo. h,’w t,v each.
