Morris R. Shlensky, president, said that none of the additional ly authorized shares will be is sued at this time that no nego tiations are under way that would involve the issuance of either the common or preferred. “The additional shares are now available in event business opportunities or financing re quirements arise that make it feasible to use the equity route,” he advised shareholders. Stockholders also approved a modification of pre-emptive rights of common and permitted the issuance of script in the place of fractional shares. Commenting on current busi ness, Shlensky said the active pace of 1967 is continuing and that the first quarter of 1958 will show a sales increase of 25 per cent over the same 1967 period. John S. Ayres, president, told share holders at the annual meeting here. In 1958, Cook began commer cial production of polyester res ins. In that year sales amounted to 323,000 pounds; last year, the volume was over 18 million pounds. Polyurethane foam, which was introduced in 1962 accounted for over 334 million pounds last year alone, he said. Prior to 1958 Cook Paint had no licensing arrangements. To day, he noted, the company has licensees supplying its products in most countries of the free world. The main emphasis has been on specialized industrial finishes such as those related to automotive and can manufactur ing.
