Austin Fontenot, a Notary Public, duly :ommissioned, qualified and sw.orn n and for the pariah and state above nrritten, and in the presence of the witnesses hereinafter named and undersigned, personally came And appeared the several persons whose names are hereunto subscribed, who declared that availing themselves of the laws of the State of Louisiana, and especially of Act No. 267 of the General Assembly of the year 1914, they have covenanted and agreed, and by these presents hereby covenant, agree and bind themselves, as well as such other persons as may hereafter become associated with them, to form a corporation for the objects and purposes, and under the stipulations, articles, limitations and conditions following, to-wit:ARTICLE I.The title arid name of this corporation shall be the PEOPLES MOSS GIN COMPANY, INC., and by that name it shall have power and authority to exist and enjoy succession for the full period of ninety-nine years from this day and date.ARTICLE II.The domicile of this corporation shall be in the Village of Palmetto, in the Parish of St. Landry, State of Louisiana. All citations shall be ierved upon the president of this cor-oration, or in his absence upon the vice-president, or in the case of the ibsence of both the president and rice-president, then upon the secre-;ary-treasurer of the corporation, and in case of the absence of the presi-lent, vice-president and secretary-treasurer, then upon the superintendent in charge of the factory.' ARTICLE III.The objects and purposes for which this corporation is organized and the nature of the business to be carried on by it, are declared to be as follows, to-wit:The gathering, buying, cleaning, curing and the selling of moss; to own and operate moss gins, storage rooms and warehouses; to own and operate factories or machinery to manufacture moss into its various marketable forms; to acquire the ownership and control of trade marks, designs and formulas for the cleaning, curing, manufacturing and selling of moss; to acquire, build,.lease, sell, exchange and otherwise dispose of mmovable, movable or personal property incidental, necessary or advantageous to the successful and proper carrying on of the business of this corporation,ARTICLE IV.The capital stock of this corporation is hereby fixed at the sum of Twelve Thousand Dollars ($12,000.-00), divided into or represented by One Hundred and Twenty (120) shares of the par value of One Hundred Dollars ($100.00) each. The subscriptions to the capital stock shall be paid for in cash, property or rights actually transferred to the corporation, or for services actually rendered to the corporation. This capital stock may be increased to Twenty Thousand Dollars ($20,000.00) on complying with the requisites of the law, and this corporation shall only commence business when fifty per cent of the capital stock shall have been subscribed and fully paid for.
